Terms and Conditions: “Show Your Sport” FireBlood Giveaway (“Promotion”)

By participating in this Promotion, each participant (the “Participant”) unconditionally agrees to be bound by these Terms and Conditions (the “Terms”).

1. The Promoter

The Promotion is operated by TopG.com Inc., a company incorporated under the laws of Texas, registered under commercial registry No. 805183808, having its registered office at 718 Westheimer Ste 1000 Houston Texas, 77057, USA (“we”, “us”, or “our”).

2. Promotion Period

The Promotion shall run until 21st May 0000 PST (the "Promotion Term").

3. Eligibility

  1. Participation is open to individuals who are legal residents of[Country] and aged 18 years or over at the time of entry. Entry is void in any country or territory where the Promotion, or the delivery of the Prize, would be unlawful or materially restricted.
  2. The Participant must be the individual appearing in the submission and must have the legal capacity to participate.
  3. Our employees, contractors, agents, and their immediate family members are not eligible.
  4. We reserve the right to exclude any entries, including without limitation those involving unsafe, illegal, or excessively dangerous activities.
  5. Participants must provide their legal name, valid contact details, and city of residence if requested for verification or Prize fulfillment.
  6. No purchase is necessary to enter or win.
  7. Any entries received after the Promotion Term shall be deemed invalid and will not be processed.

4. How to Enter

  1. To enter, Participants must:
    • Create an original video of themselves actively practicing their sport (the “Content”);
    • Ensure that a physical, printed newspaper from the day of filming is clearly visible in the Content footage, with the masthead and date clearly legible on screen;
    • Post the Content on[Instagram / TikTok / Facebook / other specified social media platform(s)]in accordance with the instructions set out in the promotional materials; and
    • Submit the relevant social media post via our designated submission page during the Promotion Term.
  2. Entries will only be valid if all required steps in clause 4.1 have been completed.
  3. The Participant must ensure that:
    • The Content is their own original work;
    • They have permission from any person appearing in the Content;
    • The Content does not include any unlawful, offensive, infringing, misleading, or inappropriate material; and
    • The social media post remains publicly viewable until winners have been selected and contacted.
  4. We reserve the right to disqualify any entry in our sole discretion, including without limitation any entry we deem to be unsatisfactory, incomplete, illegible, offensive, or in breach of these Terms.

5. The Prize

  1. The prize pool consists of up to 100 FireBlood Sponsorships. For the purposes of this Promotion, one (1) “FireBlood Sponsorship” means one (1) FireBlood Tub (the “Prize”). The approximate retail value of each Prize is USD 90.00.
  2. A maximum of 100 winners will be selected. Each winner shall be entitled to receive one (1) Prize.
  3. Prizes are non-transferable, non-exchangeable, and no cash alternative is available. In the event of circumstances beyond our control, we reserve the right to substitute the Prize for an alternative of equal or greater value.
  4. We do not ship to every country. If a Prize cannot be lawfully or practically shipped to a winner’s jurisdiction, the Prize will be forfeited and reallocated to the next-ranked valid entry.
  5. Winners are solely responsible for any and all local, state, or federal taxes, as well as any customs duties or import fees associated with the receipt or use of the Prize.

6. Selection and Notification of Winners

  1. We reserve the absolute right to pick/select winners and to revoke any Prize or winner status.
  2. Winners will be selected and notified via [Direct Message/Social Media Announcement] within 10 days of the end of the Promotion Term. Our decision is final and binding in all matters; no correspondence or discussion shall be entered into regarding the selection process.
  3. Failure to provide valid contact or delivery information within fourteen (14) days of notification will result in the forfeiture of the Prize, which may then be reallocated at our sole discretion.

7. Intellectual Property and Grant of Rights

  1. By submitting Content, the Participant hereby grants to us a perpetual, irrevocable, royalty-free, worldwide, sub-licensable, and transferable license to use, reproduce, edit, publish, and distribute the Content in any and all media. Participant hereby irrevocably waives any “moral rights” or other rights with respect to attribution or integrity of the Content under any applicable law.
  2. Participants specifically acknowledge and agree that their Content may be edited and included in a “winners’ montage” or other marketing collateral to be displayed on our social media platforms and websites.
  3. The Participant warrants that:
    • They are the sole creator and owner of the Content.
    • They have obtained express written consent from any other persons appearing in the Content.
    • The Content does not infringe the intellectual property or privacy rights of any third party.
    • The Content complies with applicable law and these Terms.

8. Liability and Indemnity

  1. To the maximum extent permitted by law, we exclude all liability for any loss, damage, or injury occurring as a result of the Participant’s practice of their sport or participation in this Promotion.
  2. We accept no responsibility for entries lost or delayed due to technical malfunctions, network failures, or hardware/software issues of any kind.
  3. Participants are solely responsible for ensuring that any sport or activity shown in their Content is carried out safely and lawfully.
  4. The Participant agrees to indemnify us against all statutory and common law claims, costs, and liabilities arising from a breach of the warranties set out in Clause 7.3.
  5. Participant acknowledges that practicing sports involves inherent risks of bodily injury. By entering, Participant voluntarily assumes all risks associated with the creation of the Content and confirms they are in sufficient physical condition to perform the activity shown.

9. Data Protection

Any personal data collected in connection with the Promotion will be used by us for the purposes of administering the Promotion, verifying entries, contacting winners, delivering Prizes, and, where applicable, publicising winners and using submitted Content in accordance with these Terms. Personal data will be processed in accordance with our Privacy Policy, available at[link].

10. Governing Law, Arbitration and Jurisdiction

These Terms and any dispute arising out of or related to this Promotion shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Promotion shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be[City, State—e.g., Dallas, Texas], and the language of the arbitration shall be English. To the extent permitted by law, Participants agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11. General

  1. We reserve the right to void, suspend, or cancel the Promotion where it becomes necessary to do so. Any amendments to these Terms will be published on our official platforms.
  2. This Promotion is in no way sponsored, endorsed, administered by, or associated with[Instagram / Facebook / TikTok / relevant platform(s)].
  3. By entering, each Participant releases the relevant social media platform(s) from any responsibility in connection with the Promotion.
